Professional advice does not alone establish that directors act under another's directions, preserving board autonomy under the Act. A person who gives professional advice shall not, solely because the board acts on that advice, be deemed to be a person in accordance with whose directions or instructions the board is accustomed to act, except where the Act expressly provides otherwise.
