<h1>Dissentient Shareholders Can Challenge Share Variations Under Section 107 of the Companies Act, 1956</h1> Section 107 of the Companies Act, 1956, addresses the rights of dissentient shareholders when the rights attached to a class of shares are varied. Shareholders holding at least ten percent of the affected shares, who did not consent to the variation, can apply to the Tribunal to cancel the variation. The application must be made within twenty-one days of the resolution. The Tribunal, after considering the case, may disallow the variation if it unfairly prejudices the shareholders. The Tribunal's decision is final. The company must forward the Tribunal's order to the Registrar within thirty days, or face fines.
