Resolutions by circulation require draft and necessary papers circulated to directors in India and majority approval. A resolution circulated in draft, together with necessary papers, must be sent to all directors or committee members then in India and to other directors or members at their usual address in India; it is deemed passed only if approved by such of the directors then in India, or by a majority of them entitled to vote, provided their number is not less than the quorum fixed for a meeting of the Board or committee.
