<h1>Company Members Can Seek Relief Under Section 397 for Oppressive Conduct Without Winding Up the Company.</h1> Section 397 of the Companies Act, 1956, allows company members to apply to a Tribunal for relief if they believe the company's affairs are conducted oppressively or prejudicially to public interest. Members must have the right to apply under Section 399. If the Tribunal finds the company's conduct oppressive and that winding up the company would unfairly prejudice members, it may issue orders to resolve the complaints without resorting to winding up, provided it is otherwise justifiable to wind up the company on equitable grounds.
