Quorum Rules for Board Meetings: Section 287 Requires One-Third or Two Directors, Excluding Interested Directors per Section 300.
Section 287 of the Companies Act, 1956, outlines the quorum requirements for Board meetings. The 'total strength' refers to the Board's total number of directors, excluding any vacancies. An 'interested director' cannot be counted towards the quorum due to conflicts of interest as per Section 300. The quorum is one-third of the total strength or two directors, whichever is higher. If interested directors comprise two-thirds or more of the total strength, the quorum consists of at least two non-interested directors present at the meeting.
