Notice of meetings: directors must receive written notice in India; an officer who fails to give notice faces a statutory fine. Every meeting of a company's Board of Directors must be preceded by a written notice given to each director for the time being in India, and to every other director at his usual address in India; the officer required to give such notice is liable to a fine for failure to do so.
