Change of registered office requires Regional Director confirmation, then Registrar filing validates the altered memorandum. No company may change its registered office within the same State from one Registrar's jurisdiction to another unless confirmed by the Regional Director following an application in the prescribed form; confirmation must be communicated within four weeks. Thereafter the company must file a certified copy of the confirmation and the altered memorandum with the Registrar within two months, who must register and certify the alteration within one month, the certificate being conclusive evidence of compliance and the altered memorandum becoming the company's memorandum.
