Tribunal Can Order Company Meetings Under Section 186 of Companies Act, 1956 If Impracticable to Hold Otherwise.
Section 186 of the Companies Act, 1956 empowers the Tribunal to order the calling, holding, and conducting of a company meeting, excluding the annual general meeting, if it is impracticable to do so in the prescribed manner. This can be initiated by the Tribunal itself or upon application by a company director or voting member. The Tribunal may issue directions to modify or supplement the Act's provisions or the company's articles regarding the meeting process. Meetings conducted under such orders are considered duly called and held. The section was amended by the Companies (Second Amendment) Act, 2002, with changes pending notification.
