Board powers cease on appointment of a liquidator, except to notify the Registrar or where continuance is sanctioned. On appointment of a liquidator, all powers of the board of directors and of any managing or whole time directors and manager cease, except for giving notice of the appointment to the Registrar and insofar as the company in general meeting or the liquidator may sanction continuance.
