Alteration of memorandum requires special resolution and certified filing; interstate office change needs tribunal confirmation. A Producer Company may alter its memorandum only as expressly permitted by the Act; it may change its objects by special resolution. Amendments require filing a certified copy of the special resolution and the amended memorandum with the Registrar within thirty days, with dual filings where the registered office moves between registrar jurisdictions and forwarding of documents by the originating registrar. A change of registered office from one State to another takes effect only after confirmation by the statutory adjudicatory body on petition.
