<h1>Alternate Director Appointment: Board Can Appoint for Absent Director's Term, Subject to Articles or Resolution Approval.</h1> The Board of directors of a company can appoint an alternate director to act in place of an original director during their absence from the State for at least three months, if authorized by the company's articles or a resolution. The alternate director's term cannot exceed that of the original director and must end if the original director returns. If the original director's term ends before their return, any automatic re-appointment provisions apply to the original director, not the alternate.
