of <h1>Companies Cannot Alter Memorandum Conditions Unless Allowed by Companies Act, 1956; Section 13 Provisions Apply.</h1> A company is restricted from altering the conditions in its memorandum unless expressly permitted by the Companies Act, 1956. Only provisions required by Section 13 or other specific sections are considered conditions of the memorandum. Other provisions, such as those concerning the appointment of a managing director or manager, can be altered like the company's articles, unless the Act allows for a different alteration method. References to a company's articles in the Act include these additional memorandum provisions.
