Only provisions required by Section 13 or other specific sections are considered conditions of the memorandum. Other provisions, such as those concerning the appointment of a managing director or manager, can be altered like the company's articles, unless the Act allows for a different alteration method. References to a company's articles in the Act include these additional memorandum provisions.
