Section 159 Companies Act shifts from jail to monetary penalties for continuing director appointment defaults under sections 152-156
Section 159 of the Companies Act, 2013 imposes a monetary penalty on any individual or company director who defaults in complying with sections 152, 155 or 156, which relate to appointment and related requirements of directors. The penalty may extend to fifty thousand rupees, and where the default is continuous, an additional penalty up to five hundred rupees per day after the first day of default may be imposed. Following the 2019 amendment, imprisonment has been removed and the provision now operates purely as a civil penalty mechanism.
