Resolutions at adjourned meetings are treated as passed on the date they are actually adopted, not earlier. Resolutions passed at an adjourned meeting of a company, of any class of shareholders, or of the Board of Directors are treated as having been passed on the date on which they were in fact passed and shall not be deemed to have been passed on any earlier date.
