It also sets model articles of association (Tables F to J) regulating share issue and certificates, variation of class rights, lien, calls, transfer/transmission (including OPC nomination mechanics), forfeiture, alteration/reduction of capital, capitalisation, buy-back, general meetings and voting (including e-voting), Board proceedings, key managerial appointments, dividends, inspection of accounts, winding up, and officer indemnity, with share certificates to be signed by specified officers and the common seal being optional.
