Members' right to inspect company minute books and obtain copies under Section 119 of the Companies Act, 2013
Section 119 of the Companies Act, 2013 mandates that minute books of general meetings and resolutions passed by postal ballot be kept at the company's registered office and be open to inspection by any member during business hours without charge, with at least two hours allotted per business day, subject to reasonable restrictions in the articles or by general meeting. Members are entitled to copies of such minutes within seven working days of request upon payment of prescribed fees. Refusal of inspection or failure to provide copies attracts specified monetary penalties on the company and defaulting officers, and the Tribunal may order immediate inspection or delivery of copies.
