<h1>Annual general meetings: Producer Companies must convene timely AGMs with prescribed notices, enclosures and registrar filings.</h1> Section 378ZA requires every Producer Company to hold an annual general meeting within prescribed intervals, with the first AGM within ninety days of incorporation; the AGM must adopt articles and appoint directors. Notices must accompany agenda, prior minutes, director candidate names and qualifications, audited financial statements and Board report addressing state of affairs, reserves, limited return on share capital, patronage bonus, material changes, and other specified matters, plus draft resolutions for auditors and amendments. Meetings require 14 days' notice, a quorum of one-fourth of members unless otherwise provided, and filing of meeting proceedings, Board report and audited accounts with the Registrar within sixty days, with provisions for requisitioned EGMs and institutional representation.
