<h1>Understanding Section 103 quorum rules for public and private company general meetings, adjournment timelines and member requirements</h1> Section 103 of the Companies Act, 2013 prescribes quorum requirements for general meetings. For public companies, quorum depends on the number of members: five members personally present if up to 1,000 members; fifteen if more than 1,000 but up to 5,000; and thirty if more than 5,000. For private companies, two members personally present constitute quorum. If quorum is not present within 30 minutes, the meeting is adjourned to the same day in the next week or another date, time, and place set by the Board, except requisitioned meetings, which stand cancelled. At least three days' notice of adjournment or change must be given. At the adjourned meeting, those present form the quorum.
