<h1>Winding up: duties to list contributories, rectify member register and cap liability for present and former members</h1> Upon a winding up order, the Tribunal must promptly settle a list of contributories, rectify the register of members where required, and apply company assets to discharge liabilities, unless calls or rights adjustment are unnecessary. It must distinguish contributories in their own right from those liable as representatives. All persons who are or have been members and are liable to contribute may be included, subject to limits: no liability if membership ceased at least one year before commencement or for debts incurred after cessation; former members contribute only if present members cannot; in companies limited by shares or guarantee, liability is capped at unpaid share amounts or the guaranteed sum, as applicable.
