<h1>Member can seek Tribunal-called AGM when company defaults under section 96, and single-member meeting may suffice</h1> Where a company defaults in holding its annual general meeting as required under section 96, any member may apply to the Tribunal to intervene. The Tribunal may itself call, or direct the calling of, the annual general meeting and may issue any ancillary or consequential directions it considers expedient. These directions may include an order that attendance by a single member, in person or by proxy, constitutes a valid meeting. Any general meeting convened pursuant to such Tribunal directions is deemed to be the company's annual general meeting for all purposes under the Companies Act, 2013, subject to the Tribunal's directions.
