          <h1>Tribunal power to call an annual general meeting enforces member rights and deems such meetings valid under the Act.</h1> On application by any member where a company defaults in holding its annual general meeting, the Tribunal may call or direct the calling of an annual general meeting notwithstanding the Act or the articles, issue ancillary directions (including that one member present in person or by proxy shall constitute a meeting), and any meeting held under those directions shall be deemed to be the company's annual general meeting under the Act.
