Directorships in private companies that are subsidiaries or holding companies of public companies count towards the public company limit, while dormant company directorships do not count towards the overall limit. A special resolution by company members can impose a lower limit. Directors exceeding these limits at the Act's commencement must resign from excess positions within a year. Violations incur a daily penalty of two thousand rupees, up to two lakh rupees.
