<h1>Company document authentication and contract signing authority u/s 21 broadened to include Board-authorised employees after 2017 amendment</h1> Section 21 prescribes who may authenticate company documents and proceedings, and who may sign contracts made by or on behalf of a company. It permits execution by any key managerial personnel or by an officer or employee of the company who is duly authorised by the Board for that purpose. The 2017 amendment expands the class of permitted authorised signatories from only 'an officer' to 'an officer or employee,' thereby enabling Board-authorised employees, as well as officers and key managerial personnel, to validly sign and authenticate for the company where the Act does not otherwise provide.
