<h1>Omission of Section 313 Companies Act shifts voluntary winding up control to Insolvency and Bankruptcy Code framework</h1> Section 313 of the Companies Act, 2013, which dealt with cessation of the board's powers on appointment of a Company Liquidator in a voluntary winding up, has been omitted by the Insolvency and Bankruptcy Code, 2016 with effect from 15-11-2016. Previously, it provided that upon appointment of a Company Liquidator, all powers of the board of directors and any managing or whole-time directors or manager ceased, except for giving notice of such appointment to the Registrar. The omission reflects the transition of corporate insolvency and liquidation matters to the Insolvency and Bankruptcy Code framework.
