How Section 104 of the Companies Act, 2013 Decides Who Chairs Company Meetings and Poll-based Changes
Section 104 of the Companies Act, 2013 governs the appointment of the chairman of company meetings. Unless otherwise provided in the company's articles, members personally present elect one of themselves as chairman by a show of hands. If a poll is demanded on this election, it must be conducted immediately in accordance with the Act. The person elected by show of hands remains chairman until the poll result is declared. If a different person is elected as a result of the poll, that person becomes chairman for the remainder of the meeting.
