<h1>Section 378F: Key Memorandum Rules for Producer Companies on Name, Objects, Share Capital, Subscribers and Liability</h1> Section 378F mandates that a Producer Company's memorandum of association must specify its name ending with 'Producer Company Limited,' the State of its registered office, and main objects limited to those in section 378B. It must also include names and addresses of subscribers, the authorised share capital and its division into fixed-value shares, and the names, addresses, and occupations of the producer-subscribers who will be first directors under section 378J(2). The memorandum must state that members' liability is limited and indicate, against each subscriber, the number of shares taken, with a minimum of one share per subscriber. If the company's objects extend beyond one State, the relevant States must be specified.
