<h1>Board Meeting Quorum Rules u/s 174: Counting Vacancies, Interested Directors, Adjournment and Virtual Participation</h1> Quorum for a Board meeting is one-third of the total strength or two directors, whichever is higher, counting participation via video or other audio-visual means. Continuing directors may act despite vacancies, but if their number falls below quorum, they may act only to increase the Board to quorum or to summon a general meeting. When interested directors are at least two-thirds of the Board, quorum is the non-interested directors present, being not less than two. If a meeting cannot be held for lack of quorum, it is adjourned to the same day, time, and place in the next week (or next non-national holiday). Fractions are rounded up and vacant positions are excluded from total strength.
