A quorum is one-third of the total Board strength or two directors, whichever is higher, and includes directors participating via video conferencing. If vacancies reduce the Board below quorum, remaining directors can only act to increase director numbers or call a general meeting. When interested directors exceed or equal two-thirds of the Board, at least two uninterested directors must be present for a quorum. If a meeting lacks quorum, it is adjourned to the same time and place the following week, unless company articles state otherwise.
