<h1>When a Director's Office Falls Vacant: Grounds u/ss 164, 184 and Penalties for Continuing in Office</h1> The provision specifies when a director's office automatically becomes vacant, including incurring disqualification under section 164 (with continued office only in the defaulting company under section 164(2)), absence from all Board meetings for twelve months, contravention of or failure to disclose interests under section 184, disqualification or conviction by court with specified appeal grace periods, removal under the Act, or cessation of the underlying employment in a group company where the directorship is linked to such employment. A person knowingly acting as director after vacation is subject to a monetary penalty between one and five lakh rupees. If all directors vacate, the promoter or Central Government must appoint interim directors. Private companies may add further grounds in their articles.
