<h1>Company dissolution after complete winding up u/s 365 of Companies Act, 2013 based on Official Liquidator's report</h1> Section 365 of the Companies Act, 2013 provides that when the Official Liquidator is satisfied a company is completely wound up, a final report must be submitted: to the Central Government if no reference was made to the Tribunal under section 364(4), and to both the Central Government and the Tribunal in all other cases. Upon receiving the report, the Central Government or Tribunal, as applicable, shall order dissolution of the company. Following such order, the Registrar must strike the company's name from the register and publish a notification.
