Sections 98 and 100 to 111 do not apply to OPCs. Ordinary business typically conducted at an annual general meeting for other companies can be transacted by the OPC member through a written resolution, recorded in the minutes book, and signed and dated, which is considered the meeting date. If an OPC has only one director, board resolutions can similarly be recorded, signed, and dated by the director, with the date deemed as the meeting date for all legal purposes.
