<h1>Rules on director resignation, board duties, Registrar filings and liability under Companies Act Section 168 explained simply</h1> A director may resign by written notice to the company, upon which the Board must record the resignation, notify the Registrar within the prescribed manner and time, and disclose the fact in the next directors' report to the general meeting. The director may also send a copy of the resignation with detailed reasons directly to the Registrar within thirty days. The resignation takes effect from the date the notice is received by the company or the specified date in the notice, whichever is later. A resigning director remains liable for offences committed during their tenure. If all directors resign or vacate office, the promoter or, failing that, the Central Government must appoint replacement directors until new ones are appointed in general meeting.
