Security deposit u/s 214 Companies Act, 2013 aims to deter frivolous investigation requests and refunds on prosecution.
Section 214 of the Companies Act, 2013 empowers the Central Government, when ordering an investigation under sections 210(1)(b) or 213, to require the applicant to furnish security for the costs and expenses of the investigation. The security amount, as prescribed, cannot exceed twenty-five thousand rupees and is a precondition to appointing an inspector. This provision ensures that frivolous or vexatious applications are discouraged. If the investigation culminates in prosecution, the security deposited is refundable to the applicant.
