<h1>Section 249 bars company name removal if recent changes, asset disposals, winding up, or compromise proceedings exist</h1> Section 249 of the Companies Act, 2013 restricts a company from applying for removal of its name under section 248(2) if, in the preceding three months, it has changed its name or shifted its registered office between States, disposed of property or rights for value other than in the ordinary course of winding down, undertaken activities beyond those necessary for the application or closure, sought Tribunal approval for a compromise or arrangement not yet concluded, or is being wound up under Chapter XX or the Insolvency and Bankruptcy Code, 2016. Applications made in violation attract a fine up to one lakh rupees and must be withdrawn by the company or rejected by the Registrar once such conditions are known.
