<h1>Company officers seeking relief from negligence or breach-of-duty liability when acting honestly; no civil relief in criminal cases</h1> In proceedings against a company officer for negligence, default, breach of duty, misfeasance, or breach of trust, the court may, if satisfied the officer acted honestly and reasonably and ought fairly to be excused in the circumstances, grant complete or partial relief from liability on such terms as it thinks fit; however, in a criminal proceeding, the court cannot grant relief from any civil liability attaching to the officer for the same acts or omissions. An officer who apprehends that such proceedings may be brought may apply to the High Court, which may grant relief on the same basis and to the same extent as if the matter were before it in an actual proceeding. No relief may be granted unless notice is served requiring the Registrar and any other necessary person to show cause against granting relief.
