<h1>Rules for circulating prospectuses in India for foreign companies, including expert consent for statements, led to demand being set aside.</h1> No person may issue, circulate, or distribute in India any prospectus offering subscriptions for securities of a company incorporated or to be incorporated outside India unless specified conditions are met. If the prospectus includes a statement purportedly made by an expert, the expert must have provided written consent to its inclusion in the form and context used and must not have withdrawn that consent before registration, and the prospectus must state that such consent has been given and not withdrawn. The prospectus must also ensure that applications made under it bind all persons concerned by the applicable provisions on prospectuses and allotment requirements. A statement is treated as included in a prospectus if contained in, incorporated by reference into, or issued with any report or memorandum.
