Applicants must file with the Registrar the signed memorandum and articles, professional and director declarations of compliance and non-conviction, correct and complete information on subscribers and first directors, address for correspondence, their identification details, interests in other entities, and consents to act as directors. On satisfactory filing, the Registrar issues a certificate of incorporation and allots a distinct corporate identity number. The company must preserve filed documents at its registered office. Furnishing false, incorrect, or suppressed material information attracts liability under section 447, and the Tribunal may regulate management, alter liability, remove the company's name, or order winding up.
