Section 59 of Companies Act: Correct Wrong Entries in Company Registers, Appeal for Rectification, Tribunal Can Order Corrections.
Under Section 59 of the Companies Act, 2013, if a person's name is wrongly entered or omitted from a company's register of members, they or the company can appeal to the Tribunal or a designated foreign court for rectification. The Tribunal can dismiss the appeal or order the company to rectify the register within ten days and possibly award damages. This section does not affect the right to transfer securities, but contraventions of securities laws can lead to Tribunal-ordered corrections. Previously, non-compliance with Tribunal orders could result in fines or imprisonment, but this provision was removed in 2020.
