Transfer of corporate assets and liabilities: court order vests transferor's property and obligations in the transferee company. Order directs that the transferor company's specified property, rights and powers be transferred and vested in the transferee company without further act or deed, subject to existing charges except those extinguished by the arrangement, and that all liabilities and duties of the transferor company become those of the transferee company; pending proceedings are to continue by or against the transferee company, the transferee shall allot shares to non-dissenting members, and the transferor must deliver a certified copy of the order to the Registrar for registration leading to dissolution and file consolidation.
