Shares issued at discount require certified copy of the court order delivered to the Registrar before taking effect. Orders sanctioning the issue of shares at a discount must direct that a certified copy of the sanctioning order be delivered to the Registrar of Companies for registration within one month of the order, and the order shall not take effect until such certified copy has been delivered, unless the Court otherwise directs.
