Issue of shares at a discount requires court sanction and detailed resolution, disclosure, and justification. Petition under section 79 requests court sanction for issuing shares at a discount and must include company identity, registration, objects, authorised and issued capital details, confirmation of commencement of business, the general meeting resolution authorising the discounted issue, particulars of share class and timing, factual justification for the discount including financial position and benefits, and, where the discount exceeds ten per cent, disclosure of Central Government permission with the original order annexed.
