Cancellation of registration: reorganisation by transfer, amalgamation or division causes dissolution and succession of rights. Where a multi State co operative society transfers its whole assets and liabilities, amalgamates into a new society, or divides into multiple societies under the prescribed procedure, the original society's registration is cancelled on registration of the transferee or new societies and it is deemed dissolved and ceases to exist as a corporate body. Such amalgamation or division does not affect the rights or obligations of the resulting society or societies, and legal proceedings by or against the original society may be continued or commenced by or against the resulting society or societies.
