<h1>Clause 213 empowers investigation into company affairs for fraud or mismanagement; penalties under Section 447 apply.</h1> Clause 213 of the Companies Bill, 2011, allows the Tribunal to order an investigation into a company's affairs upon application by a specified number of members or other persons if there is evidence of fraudulent or unlawful conduct. This includes conducting business with intent to defraud, mismanagement, or withholding information from members. If such conduct is proven, responsible officers and individuals involved in the company's formation or management can be punished under section 447 for fraud. The Central Government appoints inspectors to carry out the investigation and report their findings.
