of <h1>Non-Retiring Director Appointment: Submit Candidature Notice & Deposit 14 Days Before Meeting, Refundable on Election.</h1> A person who is not a retiring director can be appointed as a director at a general meeting if they or a proposing member submits a written notice of candidature to the company's registered office at least fourteen days prior. This notice must be accompanied by a deposit of one lakh rupees or a prescribed higher amount, refundable if the candidate is elected or receives more than 25% of the valid votes. The company is required to inform its members about the candidature in a prescribed manner.
