Companies Can Apply for Dormant Status if Inactive for Two Years, Excluding Certain Transactions Under Specific Requirements.
A company formed for a future project or to hold assets without significant transactions can apply for dormant status. An 'inactive company' is one with no business activity or significant transactions in the last two years. Significant transactions exclude regulatory fees, compliance payments, share allotments, and office maintenance. The Registrar may grant dormant status and maintain a register of such companies. Companies not filing financial statements for two years may be added to this register. Dormant companies must meet specific requirements to retain their status and can apply to become active. Non-compliance results in removal from the dormant register.
