of <h1>Clause 243: No Damages for Terminated Agreements, Reappointment Restrictions for Directors Without Approval, Penalties for Violations.</h1> Clause 243 of the Companies Bill, 2011 addresses the consequences of terminating or modifying certain agreements under section 242. It states that such an order will not result in claims against the company for damages or compensation. Additionally, any managing director or manager whose agreement is terminated cannot be reappointed or act in such a role for five years without Tribunal approval, which requires notifying the Central Government. Violating this restriction can lead to imprisonment of up to six months, a fine up to five lakh rupees, or both for those involved.
