Proxy appointment rights clarified: members may appoint proxies subject to speaking, voting, formality and notice rules. Members entitled to attend and vote may appoint proxies subject to limits: proxies cannot speak and may vote only on a poll; Central Government may exclude classes of companies; a proxy may represent up to fifty members and a prescribed share number. Meeting notices for companies with share capital must state the right to appoint a proxy and that a proxy need not be a member; defaulting officers face fines. Deposit periods in articles longer than forty eight hours are reduced to forty eight hours. Company funded invitations naming proxies are prohibited except on written request. Proxy instruments must be written and properly signed or sealed, and prescribed forms are not invalidated by article requirements. Members may inspect lodged proxies with three days' notice.
