<h1>Companies Bill 2011: Clause 29 requires public offers in dematerialised form; others may choose physical or dematerialised.</h1> Clause 29 of the Companies Bill, 2011 mandates that all companies making a public offer, as well as certain prescribed classes of public companies, must issue securities exclusively in dematerialised form in accordance with the Depositories Act, 1996. Other companies have the option to convert their securities into dematerialised form or issue them in physical form as per the provisions of the Act or in dematerialised form following the Depositories Act and its regulations.
