Companies Bill Clause 119: Minute-books Access for Members, Penalties for Non-compliance on Inspection or Copy Requests
Clause 119 of the Companies Bill, 2011 mandates that minute-books of general meetings and resolutions passed by postal ballot be kept at the company's registered office. These books must be available for inspection by any member during business hours, with at least two hours allocated each business day. Members can request copies of these minutes within seven working days, subject to prescribed fees. If a company refuses inspection or fails to provide copies, it incurs a penalty of twenty-five thousand rupees, with officers personally liable for five thousand rupees each. The Tribunal can order immediate compliance in cases of refusal or default.
