<h1>Director Vacancy: Disqualifications Include Section 164 Breach, Board Meeting Absence, Section 184 Violations, or Court Disqualification.</h1> The office of a director becomes vacant if they incur disqualifications under section 164, miss all board meetings for a year, violate section 184 by entering into or failing to disclose interests in contracts, are disqualified by court order, are convicted and sentenced to at least six months in prison, are removed under the Act, or lose employment in a related company. Continuing as a director despite disqualification results in penalties. If all directors vacate, the promoter or Central Government appoints replacements. Private companies may set additional grounds for vacancy. This section excludes cases resolved through plea bargaining under the Criminal Procedure Code.
