Clause 378: Winding Up of Unregistered Companies Clarified, No Impact on Existing Dissolution Laws for Partnerships or Societies.
Clause 378 of the Companies Bill, 2011, addresses the winding up of unregistered companies. It clarifies that this section does not interfere with any existing laws that allow for the dissolution of partnership firms, limited liability partnerships, societies, cooperative societies, associations, or companies under the Companies Act, 1956, or any previous legislation replaced by the 1956 Act. References to provisions in the Companies Act, 1956, or its predecessors should be interpreted as references to the corresponding provisions in the new Act.
