of <h1>Companies Bill 2011: Clause 441 Allows Compounding of Fine-Only Offences, With Restrictions and Required Procedures</h1> Clause 441 of the Companies Bill, 2011, allows for the compounding of certain offences punishable by fine under the Act, either before or after prosecution. The Tribunal or Regional Director, or an authorized officer, can compound offences with fines not exceeding five lakh rupees. Compounding is not allowed if an investigation is pending or within three years of a similar compounded offence. Applications must be made to the Registrar, and any compounding must be reported. Offences requiring imprisonment cannot be compounded, and non-compliance with orders may result in penalties. Compounding requires adherence to specified procedures and permissions.
